Contract Lawyers Cannot Help You Fool Counterparties
Our Denver office is often approached about drafting contracts with small tricks in them, designed to secretly put the other side into an unexpected dilemma or disadvantage. Don't ask, because we can't and won't do it. Moreover, it doesn't work. Here's why. A contract is a meeting of the minds, an 'agreement'. It therefore represents what the parties mutually understood, intended and agreed upon. If an item is a trick, it is by definition not part of the 'agreement' and likely will be challenged in court on that basis later. The law is logical in this respect.
